AGREEMENT TO OUR LEGAL TERMS We are Plowdesk, LLC (“Company,” “we,” “us,” “our”), a company registered in New Hampshire, United States at 1 New Hampshire Avenue Suite 125, Portsmouth, NH 03801. We operate the website http://www.plowdesk.com (the “Site”), the mobile application Plowdesk (the “App”), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”). These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Plowdesk, LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms.

1. OUR SERVICES The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such a jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
2. INTELLECTUAL PROPERTY RIGHTS We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”). We grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your internal business purposes. Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
3. USER REPRESENTATIONS By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation. You agree to keep your password confidential and will be responsible for all use of your account and password.
4. PURCHASES AND PAYMENT You agree to update account and payment information, including email address, and payment card data, so that we can complete your subscription request and contact you as needed. We may change our subscription plans and pricing and will not change your plan or pricing during your subscription term. All payments shall be in US dollars. You agree to pay all charges at the prices then in effect for your subscription plan and authorize us to charge your payment provider (Visa, Mastercard, Discover, Amex).
5. SUBSCRIPTIONS Billing and Renewal: Your subscription will automatically renew at the end of each term unless you cancel it. If your current plan is no longer available, we will renew your subscription to the most similar plan offered at that time. If the renewal includes a price increase, we will notify you in advance. You will have the option to approve the new pricing, switch to a different plan, or cancel your subscription. By subscribing, you authorize us to charge your payment method on a recurring basis. Free Trial: We offer a 30-day free trial for new users. After the trial ends, your account will be charged based on the subscription plan you selected during sign-up. Cancellation: All purchases are non-refundable. You may cancel your subscription at any time through your account settings. Your subscription will remain active until the end of the current billing period.
6. USER GENERATED CONTRIBUTIONS The Services may allow you to contribute content such as comments, posts, or media. You must ensure you have the necessary rights and permissions, and your Contributions must not be unlawful, offensive, or otherwise in violation of our Legal Terms. Any Contributions are treated as non-confidential and non-proprietary, and you grant us rights to use and display them.
7. MOBILE APPLICATION LICENSE You are granted a limited, non-transferable license to use our App on your devices in accordance with these terms. You may not reverse engineer, reproduce, or redistribute the App. If obtained from an App Store, additional terms apply. You acknowledge App Stores are third-party beneficiaries of these terms.
8. THIRD-PARTY WEBSITES AND CONTENT The Services may contain links to Third-Party Websites and content. We are not responsible for and do not endorse any Third-Party Websites or content. You access them at your own risk and should review their terms and policies. We are not liable for any loss or harm resulting from your interaction with third parties.
9. SERVICES MANAGEMENT We reserve the right to monitor and manage the Services, including removing content, and limiting access.
10. PRIVACY POLICY Your use of the Services is subject to our Privacy Policy: http://www.plowdesk.com/privacy. By using the Services, you consent to the transfer and processing of your data in the United States.
11. TERM AND TERMINATION These Terms remain in effect while you use the Services.
12. GOVERNING LAW These Legal Terms and your use of the Services are governed by the laws of the State of New Hampshire, without regard to conflict of law principles.
13. DISPUTE RESOLUTION Disputes will be resolved through binding arbitration in Rockingham County, New Hampshire, under the rules of the American Arbitration Association. No class actions or representative claims are permitted. Exceptions include disputes about intellectual property rights or injunctions.
14. CORRECTIONS We reserve the right to correct errors, inaccuracies, or omissions on the Services at any time without notice.
15. LIMITATIONS OF LIABILITY Our liability is limited to the amount paid by you in the 12 months prior to the issue. We are not liable for indirect or consequential damages.
16. INDEMNIFICATION You agree to indemnify and hold us harmless against any claims arising from your use of the Services or your breach of these Terms.
17. USER DATA We may retain and use data you transmit for Service management. You are responsible for your own data and waive any claim for data loss.
18. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES You agree to receive communications electronically and to use electronic signatures and records in transactions with us.
19. SMS TEXT MESSAGING By opting in, you consent to receive SMS messages. Standard message and data rates apply. To opt out, reply ‘STOP’ to any message.
20. MISCELLANEOUS These Terms constitute the full agreement between you and us. If any part is found unenforceable, it does not affect the rest. No joint venture, employment, or agency relationship is created.
